3C’s primary advisory activities are M&A and the provision of other structured products tailored to meet the specific strategic needs of our clients.

M&A

3C offers a highly professional M&A advisory service, provided by senior staff who have a track record developed at leading international investment banks and have substantial top level experience. Our M&A credentials include the successful execution of a large number of transactions across many industry sectors in the UK, Continental Europe, Central & Eastern Europe, as well as the former Soviet Union. Products include sell-side and buy-side M&A, public offers, tender offers, restructurings and MBOs/LBOs. Notable recent deals have included advising Pamplona Capital Partners LLP on the acquisition of Johnson Matthey Ceramics in Spain, advising RI3K on the disposal by Brit Insurance of the majority of its stake, advising Russian Timber Group Limited (formerly Tynda Forest Holdings Limited) in connection with its merger with Hupex in Russia and an associated acquisition in China, and advising investors on the acquisitions of major commercial property assets in Romania.

Structured Advisory Products

Being creative in our approach to client needs is a key differentiating factor for our firm. 3C has successfully completed a number of structured transactions with innovative products. Most notably, 3C has developed structured equity and equity-linked products, designed for pre-IPO financings where a liquidity event is some two to five years away but traditional private equity financing is unattractive or inappropriate. The structures have been tailored to appeal to both issuers and major institutional investors and have proved both popular and successful. Structures include convertible cumulative redeemable preference shares, convertible bonds, PIK notes, participation notes, recapitalisations and structured offers of puts which have all been designed and successfully executed by 3C.
